★ Roll call and certificated the quorum by District Secretary Teresa Chang that 36 of 59 Excom members attended.  It reaches the quorum. 
祕書長張海星確認開會人數超過法定出席人數， 59位委員們有36委員出席。

Announcement 
重要宣導事項 :
1. Top 15 Distinguished Club Award will be awarded based on website data.  Each Club has to provide receipts of administration (venue or stationery) to apply for the award in the stipulated period.
得到傑出分會前十五名獎勵 傑出分會以網站公布得分為準。各分會提供行政收據(場租或文具類)，於規定期間內自行申請獎勵金。

 Membership Growth Award :There are two ways to make the membership comparison for March /31.  If Sept/30 membership is higher than July/1, then March/31 membership needs to compare with Sept/30 membership for the award.  If Sept/30 membership is lower than July/1, then March/31 membership needs to compare with July/1 membership for the award.  Award can be applied by Division against receipts of administration (venue, stationery, banners, etc.).
會員成長獎勵方案 : 三月三十一日的會員淨成長人數有兩種比較方式: 若去年九月三十日會員人數比去年七月一日增加，則今年三月三十一日淨成長人數和去年九月三十日人數做比較來計算獎勵金。若去年九月三十日人數是比去年七月一日減少，則今年三月三十一日的成長人數必須和去年七月一日基礎人數做比較。獎勵金申請時須提出行政收據(場租、文具、會旗等)，以"部"為單位申請。
3. The central and the south Division Governors and Area Governors attended this Mid-year training can reimburse their HSR ticket fares.  This reimbursement is excluded the yearly transportation expenses subsidy of Area Governors (NT$1000) and Division Governors (NT$3000).
 參加今日年中教育訓練之中南部的區總監和部總監可申請高鐵票的交通費，此交通費外加於區總監NT$1000和部總監NT$3000年度交通補助。
4. Badge application :Please make sure the badges belong to those who can/will get the Education Awards on or before 6/30/2014, so the expenses will be reimbursed by District. It will reimbursed based on each division. Do not buy too many Education Manuals, because all educational titles and manuals will be totally different in the next term.
 教育獎章申請: 各部可代訂教育獎章，但要確定今年六月三十日或(之前)可獲得教育成就者才能申請總會補助。教育手冊也請勿多購買，從下一任開始，美國總會將會改變所有教育榮銜和教育手冊。

1.

Ambassador Committee Chair Mike Yang Report 教育大使團主席楊冀光報告
　 a. There are 15 ambassadors and one ambassador chair in our district. Each ambassador is responsible for about 10 clubs. They will visit each club at least twice before the end of Sept. Their job is to make the "Revitalized Education Program" known to each club member.
台灣區總會的教育更新專案推廣大使共15位，另有一位大使團主席,每位大使負責訪問約10個分會，於任期內（至今年九月底）將赴各分會宣導"教育更新專案"至少2次。
　 b. Education material will be revitalized totally, but still a part of old materials will be remained.
教材將全面翻新，但仍有部分舊的教材會保留，新教材特色：
　 　 1) New materials will be focused on communication and leadership equally.
新教材"溝通"與"領導"並重。
　 　 2) New materials will upgrade members' career ability.
 教材設計讓會員在職場上能力提升。
　 　 3) New materials will have paper and digital materials to be chosen.
 有紙本與數位教材可選用。
　 　 4) It will start with English version, traditional Chinese version will be available later.
英文版本先開始，之後有繁體中文翻譯版本。
　 　 5) The program will be announced in July, and launch in Sept, 2014. New system and old system will have the overlapping period of time for about 2 years.
 2014年7月美國總會將宣佈此新教育計劃，2014年9九月開始實行，新舊制度約有兩年的重疊期。
　 　 6) Tailored Design
客製化的設計。
2. Coach Committee Report, deputy Edward Chen report on behalf of Chair Jorie Wu
 救援教練委員會報告(陳世明代替主席吳姿杏報告)：
　 a. The purpose of coaches is to help weak clubs.  Clubs with less than 13 members can apply for coach(es) by the help of LGM Caroline Kiang.
 救援教練目的是幫助弱會，分會人數少於13人可向推廣副總會長張可芸申請救援教練。
　 b. Coach Committee is to train coaches for skills and technique.
 救援教練委員會工作是訓練救援教練的技術和做法。
　 c. Dates of Coaching Workshops 救援教練工作坊日期：
 December 29th,2013 North北區、January 25th Central,2014 中區、February 8th,2014 South南區
 March, April, May : there will be "Intermediate workshops" 三月、四月、五月將在北、中、南區分別舉辦救援教練中階工作坊
3. Nomination Committee Chair Marian Hsiao Report
 提名委員會主席蕭敏環報告：
　 All committee members please fill the nominating forms, then send to Marian by post or e-mail.  The deadline is Feb. 14.
請提名委員將提名表格填好，郵寄或e-mail給蕭主席，截止日期為今年二月十四日。

1. Contests to be held once a year in Spring Con only 每年僅於春季大會舉辦演講比賽
 (to be discussed in today’s meeting 今日會議中再議)
2. District decides : Each Club can only send ONE contest to each Area Contest.  LGET Eric Liang had already formally announced the decision made by District.
 總會決定: 每分會只能派一位參賽者參加區賽。教育副總會長梁守誠已正式書面通知此決議。
3. 2014 Fall Con Venue / 2014 秋季大會場地-翔園

討論事項
1. District Realignment 總會組織重整–Realignment Committee Chair Harry Fong
重整委員會主席方瑞源：
　 The regulations of realignment from TI (Toastmasters International) : There should be at least 4 clubs up to 6 clubs in each Area.  If there are only 3 clubs in an Area, the Area needs to have ambition to charter one more club.  There should not be less than 3 club in an Area under any circumstances.  If there is realignment, then after the realignment one Area should have at least 4 clubs. If there is no realignment, then with 3 clubs in each Area is still ok for the time being.
 世界總部組織重整的規定 : 每個分區(Area)至少有4個分會(Club)，最多6個分會，若只有3個分會，但要有企圖心再成立一分會，任何情況下，均不可少於3個分會。 若要重組，重組之後每個分區(Area)就必須至少有4個分會，不然若不重組就可維持現狀保持3個分會。

　 Basically, no realignment , but FJU club from Area C1 (originally 5 clubs) is to be moved to Area C2.
基本上不重組，但Area C1 (原有5 club) 中的 Fujen U. 轉移到 Area C2。

中部重組狀況 Realignment in the central Taiwan :
　 DivB Gov Alice Li’s proposal 　　Ｂ部總監李清霞提案報告 :
　 Div B is basically OK, but DBTC (Distinguished Bilingual) has about 7 members and with poor meeting quality. This is what we worry, so there might be a need for realignment.
基本上ＯＫ，但其中一分會DBTC (Distinguished Bilingual)會員人數少（現7人），開會品質不量，較擔心，形成重組的念頭。
　 　
　 DivＩGov Game Liao’s proposal   Ｉ部總監廖正順提案報告：
　 YunTech and Yuanlin Clubs are weak, with low membership, but the meeting quality is ok.
There will be a new club chartered in April – Chung Shan Medical University Club (CSMU). This new club will be in Area I3, so I3 will have 3 clubs. (This way, there are 3 clubs in each Area, then no realignment is needed.)
弱會為 雲科大＆員林，會員人少，但開會品質還ＯＫ。
預計四月初將成立新分會：中山醫大，將加入I3，I3將恢復為3個分會。(如此各Area均有3分會，可不重整。)
　 　
　 Div LGov Lina Yang’s proposal   Ｌ部總監楊郁華提案報告：
　 Basically no realignment is needed, but there are 3 weak clubs with fewer member and poor meeting quality. If there is a realignment, then Div B, I, L will need to be realigned into two Divisions.
基本上可不重組，但有三個弱會，會員人數少，開會品質不佳。若要重組，則必須B,I,L三部一起動，重組為兩部。
　 　
　 Harry’s conclusion for Div B, I, L方主席替B,I,L三部的重整情況總結：
　 (Plan A): No realignment for Div B,I,L, but might need to face club closing, unless we save them successfully.
(Plan B) :Face the reality and make realignment for Div B,I,L, because if we don’t handle it this year, we might need to handle it next year. For a stronger organization of clubs in Central Taiwan, realignment is a better choice.
But we don’t make decision today. We wait for LGM Caroline Kiang to come back, then discuss further with central Divisions, then decision needs to be made before mid April.
計畫A：B, I, L 三部不重組，但可能面臨倒會危機，除非救會成功。
計畫B：B, I, L 三部重組，面對現實，今年不處理，明年還是要處理，為了中部組織健康，重整為佳。
但今不做結論，等LGM Caroline回台，再到中部開會討論，到四月中之前就必須做決定。
　 　
　

南部重組狀況 Realignment in Southern Taiwan :
　 Div DGov Roger Huang’s proposal   D部總監黃意程提案報告:
　 Area D1 : Pingtung Club moves out from Area D1 to Area D3; HOPAX moves from D1 to D4. Then D1 will have 3 clubs. Div D commit to charter one more new club.
Area D2 : KMUB Club moves out from Area D2 to D4, so D2 will have 4 clubs.
Area D3 : Kaohsiung Taiwanese Club, Ovation Club move from D3 to D4. With Pingtung Club moving in, D3 still have 4 clubs (Yuanshan, ScienTech, KCG, Pingtung)
Area D4 (will be set up after realignment) : with 4 clubs : Kaohsiung Taiwanese, Ovation, KMUB, HOPAX. All are non-English or bilingual.
Area D1 的 Pingtung club 移出至 Area D3，HOPAX移至D4。但D1變成3分會，承諾再成立一新分會。
Area D2 的 KMUB高友雙語移出至D4，變成4分會
Area D3 的 高雄台語會、黑馬雙語會 移至 D4，Pingtung移入，維持4分會(Yuanshan、ScienTech、KCG、Pingtung)。
Area D4　(將新成立) : 4分會: 高雄台語、Ovation黑馬雙語、KMBU高友雙語、HOPAX，均為國台或雙語。
　 　
　 Div KGov Peyton Kim’s proposal  K部總監金培焜提案報告:
　 Propose to move Full House Bilingual Club from Area K3 to K1 due to location reason.
Currently, Div K has 3 Areas with 10 clubs. No realignment is needed, but will commit to charter new club(s).　
因地域關係，期將K3的府城雙語會移至K1。
目前三個Area，10個Clubs，不需重整，但會努力創會。

DivEGov Emily Chan’s proposalＥ部總監詹康鈴提案報告:
Total 10 clubs with steady growth; no realignment is needed. TXC club was newly chartered, but due to big membership (about 60 members now), it is considered to be divided into two clubs.
10個分會，穩定中成長，不須重整。其中一會TXC(台灣晶技)雖新成立，但人數過多(60人)，考慮分為兩會。

2. 2. Discussion about “Speech Contests held only in Spring Conferences” (this is a “motion from the floor” in Council Meeging in 2013 Fall Con. The voting result then was “refer to committee”)– to be conducted by LGET Eric Liang
“每年僅於春季大會舉辦演講比賽” 的討論 (此為2013秋季大會的會員大會Council Meeting的臨時動議提案，當時表決決定“付委”)– 由教育副總會長梁守誠主持
　 LGET Eric Liang indicated that the Committee members are Division Governors who have voting rights. Area Governors can express their ideas, but no voting rights.
教育副總會長梁守誠表示: “付委”的委員會成員為各部總監，所以部總監有表決權，而區總監可發言表示意見，但沒有表決權。

　 LGET　Eric Liang said : Based on above voting results, the conclusion of the Committee is against the proposal (Contests only held in Spring Conference).  This conclusion will be presented to District, then, it will be brought up in the Council Meeting on April/13,2014.
教育副總會長梁守誠表示: 針對上述投票結果委員會的共識是反對該提案(僅在春季大會辦理演講比賽)，將把此共識交付總會，並於今年四月十三日的會員大會提出。
　 　
3. 3. Workout for clubs with members less than 8 少於8人分會輔導策略
District Governor Joy Tsai indicated that from April 2014 each club’s minimum paid membership will be adjusted from 6 to 8 to maintain a paid club.
總會長表示: 從今年四月起，各分會基本繳費人數由6人調為8人，必須完成8人繳費，才算完成繳費的分會。
　 　
4. 4. Rotation of conference venue, venue selection and hosting divisions
大會場地選定及主辦分部的輪替

　 Eric proposed: The rotation of Conferences as this : North, Central, North, North, South. Reasons for this proposal : There are more members and more Divisions in the northern Taiwan, so the proposed rotation will have more balanced opportunities for each Division to host a Conference. Furthermore, because we have two conferences each year, if we rotate as “North, Central, North, South”, then the opportunity for hosting Conferences will be fixed to same season. With rotation of“North, Central, North, North, South”each Division will have chances to hold Spring or Fall Conferences. There are Divisions A, C, G, H (plus Div M after realignment), and Div E in the North. They can coordinate and team up the combination of Divisions to host conferences. Please comment of this proposal. If no comment, then we pass the proposal by applause.

提案：春秋季大會的輪流主辦輪替方式　：　“北、中、北、北、南＂輪流主辦。原因：北部會員人數較多、部（Div）也較多，這樣安排實際上每部輪到主辦大會的機率是差不多，另外，因每年兩次大會，若以＂北中北南＂方式輪替，就會形成北部或中南部固定主辦同一季的比賽，用＂北中北北南＂方式，北、中、南都有機會主辦春季或秋季。北部由A,C,G,H部　(重組後再加上M部)，再加上E部，來自行分配主辦部(Div)的組合。Eric 請大家提意見，若無意見請鼓掌通過。
　 　
　 Div G Gov Kevin Ho expressed that he hoped the above proposed rotation method can be referred to Committee.
G部總監Kevin Ho發言：以上輪替方式的提案，希望能＂付委＂再作決議。

Parliamentarian Helen Chen indicated that according to Conference Manual, LGET has the right to decide conference locations. She suggested he opinions to be exchanged before discussion.
議事長Helen Chen 發言：按照手冊規定，教育副總會長有權決定大會的場地所在。建議事先協調好後，再做討論。
　 　
　 LGET Eric explained that 2014 Spring Con is confirmed to be in Taipei (held by Div C & H), and 2014 Fall Con is confirmed to be in Taichung. We need to decide the 2015 Spring Con location now, otherwise it will affect the District operations. So, now we decide the 2015 Spring Con location is in Taipei to be hosted by Div A, G, E. The other details of Conference rotation sequence will be discussed later.
梁教育副總會長說明：2014春季大會場地確定在台北（由C,H部主辦），2014 秋季大會場地已確定在台中。　接下來2015春季大會場地必須現在就決定，否則會影響總會運作。所以現在就決定： “2015春季大會場地在台北，由A,G,E三部共同主辦”。之後的大會場地輪替順序之其餘細節就再談。

中區與南區救援教練訓練及北區裁判訓練

6. Coach Assignment and Procedure 救援教練指派及程序
Weak clubs fill out coach appointment forms and give to LGM Caroline or DG Joy for proceeding the coach confirmation through Toastmasters International.
弱會填寫救援教練申請表格，交給張可芸推廣副總會長或蔡總會長向世界總會確認指派。

有兩個弱會在 C4: 花蓮 & NTUST(台科大): 均6 人，擬申請救援教練。

D

D1 (目標Selected) : 高雄、屏東: President, 左營，HOPAX: Selected,  KMU : Distinguished.
D2 (目標Selected) : Elite, ALE Max, KMU-B : President , Vitality : X,  NKUHT : Distinguished
D3 : 圓山、高雄台語: Distinguished,  ScienTech :X ,  Ovation, KCG : not clear

E

10 clubs 中除了新成立的TXC以外，其餘都可有5-7分，分會人數平均20-30人

F

F1: 樂陶陶人數成長，台中台語17人但穩定，高峰不必擔心曾拿9分。
F2 : 彰化會要注意，全方位會員不少但無法深入了解，
F3 : 埔心目前1分，有些奇怪，可能原因是網站均英文對F部有困難，其總會協助。

G

G1: ALE Ladder : 17人，PMI: 16人(已淨成長5人)，(G1共缺3人)
G2: NTOU-P 10人(缺1人即淨成長5人)，Happy Life : 缺2人，Skal卻1人(G2共缺4人)
G3 : 均已達到DCP
G4 : Phoenix 18人，Elephant : 19人 (D4共缺3人)
若以上各會人數若都達標準(Div G total共需增加10人)，則14個clubs都能得DCP獎

H

H1: 4 clubs 均健康
H2: TTU: 目標 5分， Formosa & YWCA : 目標 7分
H3: 4 clubs 均健康，只

I

I1: 彰化: 8分， 雲科大 & 員林: 人少，地遠、開會周日晚，支援不易，準備吃喝玩樂輕鬆救援計畫。
I2: NCBTC: 目標8-9分，TATC: 11人/ 目標4-5分，TTT:  目標8分(缺AC)
I3: Fluency : 目標9-10分，Da-Li : 目標7-8分

J

J1: 是還沒申報，沒問題。
J2: 相見歡: 目標7分，其餘兩會: 目標5分
J3: 日語會蓬勃發展，會員增加，只是申報問題。

K

Div K 目標: President Distinguished，目前1會5分，4會3分。

L

Div L 應可得Distinguished Div.  目前有4會少於20人，其中3會少於8人。Huluton最近士氣低，會去支援。
　
Motion from the floor

1. Area F1 GovFannica Sung requested District to provide promotion banners/flags for Divisions to use during activities. F1區總監宋芳伶提議請總會製作演講會關東旗製作供各部活動宣傳用
District Governor replied : District PR Jennifer Huang will contact with Divisions and make it for their need.總會長回答: 請公關長Jennifer Huang和各部聯絡，視需要來製作。
　 　
2. Div E Gov Emily Chen asked about making of new club banners.
E部總監Emily Chan提問分會會旗製作如何處理?
District Governor replied : We have a manufacturer approved by TI to make banners in Taiwan. District PR will announce this info to clubs.
總會長回答 : 台灣已有通過世界總部核准可在台灣製作的廠商，請公關長Jennifer聯繫各會製作新會旗事宜。
